1. What this addendum covers
This addendum explains how payments, Smart Escrow, payouts, refunds and fees work when you pay or get paid through P3RSON. It adds to the Terms of Service, Sections 3.2, 3.4 and 3.8. If this addendum and the Terms differ on these topics, this addendum applies.
It applies to creators, talent, agencies and brands. It does not apply to P3 Pro or P3 Coin purchases made through Apple (see the P3 Pro and Coins Addendum) or to Agency and Brand plan billing (see the Agency and Brand Addendum).
2. Who holds the money
- Card payments are collected by Stripe, Inc. ("Stripe"), our payment processor.
- Stripe holds the funds. P3RSON never holds funds.
- P3RSON is not a bank, escrow agent, trust company or money transmitter.
- "Smart Escrow" is the name of a feature. It is not a deposit account. A Smart Escrow balance is not a deposit, is not insured by the FDIC and earns no interest.
- Stripe holds the funds in connection with the payment and transfers them when P3RSON instructs release.
- P3RSON does not handle card numbers. Stripe does.
- P3RSON is not liable for third-party payment processor (Apple, Stripe) fees, delays or outages.
3. Your Stripe account
To get paid, you must connect a Stripe Connect Express account in the app.
- You must accept the Stripe Connected Account Agreement and Stripe's terms. That agreement is between you and Stripe.
- Stripe checks your identity (KYC). You may need to give your name, address, date of birth, bank details, tax ID and a government ID. Checks usually take 24 to 48 hours and sometimes up to 5 business days.
- Payouts are not available until Stripe verifies you.
- The account is in your name, not P3RSON's.
- Only verified adults can connect Stripe. Members under 18 cannot connect a Stripe account, hold a balance, receive payouts or be paid through the Platform.
Suspension. P3RSON may suspend payouts for fraud or suspected fraud, failed identity checks, violations of the Terms or Stripe's terms, or three or more chargebacks or payment failures in 90 days. We give 30 days' written notice, except in severe cases such as fraud or legal requirement.
4. Fees
| Fee | Rate | Who pays |
|---|---|---|
| Platform fee on bookings | 10% of the gross booking amount | Deducted from the booking, never added on top |
| Platform fee on other card-paid payments between users (coaching, partnerships, any future fan-to-creator subscription) | 10% of the gross amount | Deducted from the amount |
| Platform fee on P3 Coins gifts, tips and support | 20% of the gross value | Deducted from the gift. This is the only 20% fee. P3 Coins are never used for bookings. |
| Stripe processing fee | 2.9% + $0.30 per transaction | The creator. It reduces the payout. |
- The 10% fee applies to a payment from one user to another user processed through the Platform. It does not apply to P3RSON's own plans or to purchases of P3 Coins.
- "Card-paid" means paid by card or bank payment through Stripe. It does not include purchases through Apple In-App Purchase.
- Fees apply to each feature from the date that feature is made available to you in the app. A feature that is not shown as available in the app is not available and is not charged.
Worked example: $1,000 booking
| Line | Amount |
|---|---|
| Gross booking | $1,000.00 |
| Platform fee (10%) | -$100.00 |
| Stripe fee (2.9% + $0.30) | -$29.30 |
| Creator payout | $870.70 |
Worked example: booking with an agency
The agency commission is calculated on the amount left after the platform fee, not on the gross amount. On a $100 booking: the platform fee is $10.00, the agency's 20% is $18.00 (20% of $90), and the talent receives $72.00. The Stripe fee, which the creator side bears under the booking record, is deducted from the creator side's amount. See the Agency and Brand Addendum.
Booking limits
- Minimum booking: $50.
- Maximum booking: $100,000 per booking.
- These limits do not apply to tips, gifts, support, subscriptions or coaching, as stated in the Terms of Service, Section 3.2.
5. How Smart Escrow works
- A brand books a creator. The brand pays by card. Stripe collects and holds the payment.
- The creator confirms and delivers the work.
- P3RSON instructs Stripe to release the funds when one of the triggers in Section 6 happens.
- Stripe transfers the creator's share to the creator's Stripe account. The platform fee, and any agency commission, are split off at the same time.
The split happens as a single instruction. If any part fails, none of it is applied, and P3RSON retries it safely without double payment.
6. Release triggers
Funds are released when:
- the brand marks the delivery approved;
- the review period stated in the booking contract ends and no dispute is open (automatic release); or
- a dispute is resolved in favor of release.
7. Hold period: up to 90 days
P3RSON may hold funds for up to 90 days from the day the booking is funded. This is P3RSON's right, not an automatic system guarantee, and P3RSON may release, return or extend a hold as described here.
- If a booking is still unresolved on day 90 and no dispute is open, P3RSON may instruct Stripe to refund the brand.
- Funds in an open dispute may stay held until the dispute is resolved, or for as long as Stripe permits.
8. Refunds
- A brand can request a refund within 30 days of the transaction.
- Eligible reasons: the service was not delivered, the parties agreed to cancel, or the creator breached the booking contract.
- Not eligible: a change of mind after delivery, or a subjective complaint about quality where nothing is defective.
- Refunds are processed in 5 to 10 business days.
- The Stripe processing fee is not refunded. It stays the creator's cost even when the payment is refunded.
- The platform fee is refunded only when the booking is refunded in full.
- Purchased P3 Coins are non-refundable except as required by law or by Apple.
- A refund decision can be appealed as shown in the Dispute Resolution policy, Section 4.
9. Disputes
Booking and payment disputes follow the schedule in one place, the Dispute Resolution policy, Section 4:
| Step | Time |
|---|---|
| File a dispute | Within 30 days after the booking is completed |
| Initial response from P3RSON | Within 14 days |
| Resolution | Within 7 days after the investigation |
Contact [email protected] and include the booking number.
10. Chargebacks
A chargeback happens when a cardholder disputes a payment with their card issuer. P3RSON may defend the payment for the account holder by giving Stripe the booking record, messages and proof of delivery. The creator is responsible for keeping their own proof, and P3RSON does not always decide in the creator's favor.
P3RSON may withhold or reverse payouts, fees and P3 Coin value for fraud, chargebacks, policy violations or legal requirement. P3RSON may recover any negative balance from future payouts.
11. Negative balances
A balance goes negative when a refund, chargeback, reversal or fee is larger than the funds still owed to you. You owe that amount. P3RSON may deduct it from future payouts, and Stripe may collect it from your connected bank account under its agreement with you.
12. Payouts
- Payouts go to your Stripe account 3 to 5 business days after funds are released. Stripe then pays your bank on its own schedule.
- The minimum payout is $10 per cash-out request. P3RSON applies it as a policy and may hold a smaller balance until it reaches $10.
- Cash-out of P3 Coins has its own minimum and fees. See the P3 Pro and Coins Addendum.
- Agency commissions are paid to the agency's Stripe account on the same schedule.
- You can download an earnings report at any time. It shows the booking amount, platform fee, Stripe fee, agency commission and net payout.
13. Taxes
- Creators are independent contractors. P3RSON does not withhold taxes.
- P3RSON issues Form 1099-NEC to U.S. creators who earn $600 or more in a year, by January 31 of the following year. Stripe collects the tax information.
- The 1099-NEC shows the gross amount before fees. Platform and Stripe fees are business costs you may deduct.
